Affiliate Program Agreement

Background

This Affiliate Agreement is crucial for establishing the legal relationship between the Company and its affiliates. It not only governs the terms of this partnership but also provides essential information and guidance that affiliates need to succeed in the programme. Affiliates are strongly encouraged to familiarise themselves with this Agreement and ensure they fully understand their responsibilities and the terms outlined herein.

1. Introduction

This Affiliate Agreement ("Agreement") is made between Hospitality Leaders Holedo Technology Limited, located at 51 Bracken Road, Sandyford Business Park, Sandyford, Dublin D18 CV48, Ireland ("Company"), and the affiliate ("Affiliate"). This Agreement outlines the terms and conditions for the Affiliate's participation in the Company's affiliate programme.

2. Enrolment and Acceptance

Interested individuals must apply to join our affiliate programme. The link to the application form is published in the Affiliate Programme Description. Applications will be reviewed, and accepted affiliates will be notified by email.

3. Affiliate Responsibilities

The Affiliate agrees to use their best efforts to promote and market the Company’s products and services. This includes adhering to all applicable laws, including those related to marketing, privacy, and anti-spam regulations.

  • Promotion of Services: The Affiliate will promote the Company’s products and services using approved marketing materials and links provided by the Company.
  • Compliance: The Affiliate must ensure compliance with all laws and regulations, including but not limited to GDPR, CCPA, and anti-spam laws.
  • Compliance with Platform Policies: Affiliates must maintain an active profile on the Holedo platform, which binds them to the platform's Terms and Conditions and all other relevant policies, including the Privacy Policy and Community Standards. Affiliates are also encouraged to regularly check the Affiliate Programme Description and the dedicated Affiliate Programme chat room for updates on their responsibilities and promotional materials.
  • Subscription to Newsletter: Affiliates must subscribe to and remain subscribed to the Affiliate Programme newsletter as part of their ongoing participation in the programme. Important updates, promotional materials, and essential information will be communicated through this newsletter.
  • Modification of Services: The Company reserves the right to modify its products and services at any time. The Affiliate will be informed of any significant changes that may impact their promotional activities. Affiliates are also encouraged to regularly check the Affiliate Programme Description and the dedicated Affiliate Programme chat room for updates on their responsibilities and promotional materials.

The Affiliate is responsible for correctly implementing affiliate links to ensure accurate tracking and commission calculation. The Company will provide guidelines on how to implement these links. The Affiliate agrees not to modify or alter the links in any way.

5. Commission Structure

The Affiliate will earn a commission based on the net sales generated through their affiliate links. The current commission rates and payment terms are published in the Affiliate Programme Description, which may be updated periodically. The Affiliate will be notified of any changes to the commission rates.

6. Payment

Commission payments will be made according to the payment schedule outlined in the Affiliate Programme Description. Payments will only be made when the total amount due exceeds the minimum payout threshold specified in the description. Payments will be made via the method selected by the Affiliate during registration.

7. Confidentiality

The Affiliate agrees to maintain the confidentiality of all confidential information provided by the Company. This includes all non-public information relating to the Company’s business, customers, and pricing.

8. Indemnification

The Affiliate agrees to indemnify and hold harmless the Company, its subsidiaries, affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to the Affiliate’s participation in the affiliate programme, including any violation of this Agreement or applicable laws.

9. Communication and Notices

Affiliates are required to maintain an active profile on the Holedo platform throughout their participation in the Affiliate Programme. Upon acceptance into the Affiliate Programme, affiliates will be added to the dedicated Affiliate Programme chat room on the Holedo platform. This chat room will serve as the primary communication channel where the Company will provide updates, share promotional materials, and communicate any necessary information to affiliates.

All official notices, including those related to the termination of this Agreement or changes to the Affiliate Programme, will be communicated through this chat room. It is the affiliate's responsibility to stay informed by actively participating in the chat room and keeping their profile information up to date.

10. Term and Termination

This Agreement will begin upon our acceptance of your application and will continue until terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party 30 days' written notice via the public Affiliate Programme chat room on the Holedo platform.

The Company reserves the right to terminate the Affiliate Programme in its entirety with 30 days' notice via this chat room. Upon termination of this Agreement, the Company will ensure that all outstanding commissions for referrals made prior to the termination date will be paid according to the terms outlined in this Agreement. This includes commissions that have been earned but not yet paid at the time of termination.

12. Modification of Terms

The Company reserves the right to modify any of the terms and conditions in this Agreement at any time. The Affiliate will be notified of any changes, and continued participation in the affiliate programme will constitute acceptance of the new terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising under this Agreement shall be resolved in the courts of Dublin, Ireland.

14. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
