Holedo API Terms of Use

Welcome to the Holedo API. By accessing or using the Holedo API (https://api.holedo.com/rest/), you agree to comply with and be bound by the following Terms of Use. If you do not agree with these terms, you must not use the API.

1. License

1.1 Holedo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the API solely in accordance with these Terms of Use.
1.2 The Holedo API is not generally open to the public and requires either a developer or enterprise account for access. To obtain access, please get in touch with us at support@holedo.com.
1.3 You may not use the API in any manner that exceeds the scope of the access granted herein or for any unlawful purpose.

2. Acceptable Use

2.1 You agree to use the API in a manner consistent with all applicable laws and regulations.
2.2 You shall not:

  • Use the API to engage in any activity that is illegal, fraudulent, or harmful.
  • Use the API to transmit any material that is offensive, harassing, or otherwise objectionable.
  • Attempt to interfere with or disrupt the integrity or performance of the API or any data contained therein.

3. Data Protection and Privacy

3.1 You agree to comply with all applicable data protection and privacy laws, including but not limited to the General Data Protection Regulation (GDPR) for EU users.

4. API Availability and Support

4.1 Holedo will make commercially reasonable efforts to ensure the availability and proper functioning of the API. However, Holedo makes no guarantees regarding the uptime, availability, or functionality of the API.
4.2 Holedo reserves the right to modify, suspend, or discontinue the API at any time without notice.
4.3 Holedo may provide support for the API at its sole discretion and is not obligated to provide any maintenance, updates, or support services.

5. Limitation of Liability and Disclaimers

5.1 The API is provided on an "as is" and "as available" basis. Holedo makes no warranties, express or implied, regarding the API, including but not limited to the accuracy, completeness, or reliability of the API.
5.2 To the fullest extent permitted by law, Holedo disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.3 Holedo shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

  • The use or inability to use the API.
  • Unauthorized access to or alteration of your transmissions or data.
  • Any other matter relating to the API.
    5.4 Holedo does not warrant that the API will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Holedo also does not warrant that the API will meet your specific requirements or expectations.

6. Indemnification

6.1 You agree to indemnify and hold harmless Holedo, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your use of the API or your violation of these Terms of Use.
6.2 You acknowledge and agree that you use the API at your own discretion and risk, and that you will be solely responsible for any damage to your systems or loss of data that results from such use.
6.3 You further agree to indemnify Holedo against any claims arising from third parties related to your use of the API, including but not limited to claims of infringement, misuse of data, or violations of applicable law.

7. Termination

7.1 Holedo may terminate your access to the API at any time, for any reason, with or without notice.
7.2 Upon termination, all rights and licenses granted to you will terminate and you must cease all use of the API.

8. Governing Law

8.1 These Terms of Use shall be governed by and construed in accordance with the laws of Ireland for EU users, and the laws of the state of Delaware, USA, for users outside the EU, without regard to its conflict of law principles.

9. Changes to the Terms

9.1 Holedo reserves the right to modify these Terms of Use at any time. Changes will be posted on this page, and your continued use of the API constitutes acceptance of the updated terms.

10. Integration with General Terms and Conditions

10.1 These API Terms of Use are referenced in and are an integral part of Holedo’s general Terms and Conditions. By using the API, you agree to be bound by both these API Terms of Use and the general Terms and Conditions.
